PeerPop Inc. Terms of Service

PeerPop Inc., a Delaware C corporation (collectively with its affiliates, agents, representatives, consultants, employees, officers, and directors — "PeerPop," "we," "us," and/or "our"), offers a dynamic platform dedicated to event organization and promoter engagement, primarily serving the Gen Z audience. Our services, accessible via our website and mobile application, are designed to facilitate seamless event experiences, including ticket sales, marketing, and event management (collectively, such services and related PeerPop products or services, including any new features and applications, the "Services"). Portions of the Services are publicly available to all visitors ("Visitors"), while other portions are exclusive to registered users with an account ("Members"). These Terms of Service ("Agreement") apply to both Visitors and Members (collectively, "Users"). Please read this Agreement carefully before using the Services.

1. Acceptance of Terms

By registering for an account or using our Services in any manner, you acknowledge that you have read and understood these Terms. You agree to comply with all applicable laws and regulations in connection with your use of our Services. This Agreement applies whether you are accessing our Services as an individual or on behalf of an entity.

2. Account Registration and Use

To fully utilize our Services, you need to create a PeerPop account. During registration, you agree to provide accurate and current information and keep this information up-to-date. You are responsible for maintaining the confidentiality of your account and password and for restricting access to your devices. You agree to accept responsibility for all activities, charges, and damages that occur under your account. Report any unauthorized use of your account to us immediately. You are responsible for anything that happens through your account until you close it or prove that its security was compromised through no fault of your own.

Age Requirement: Users must be at least 18 years of age to create an account and use our services.

Account Information: Users are required to provide accurate, current, and complete information during the account registration process and to update such information to keep it accurate.

3. Services Description

PeerPop offers a range of services designed to enhance the event experience for both organizers and attendees. This includes but is not limited to event creation, ticketing, promotion, and attendee engagement tools. Our platform is built to facilitate easy management of events, from small gatherings to large-scale festivals, tailored specifically for the Gen Z demographic.

4. User Conduct and Obligations

You are expected to use our Services responsibly. Prohibited activities include any form of illegal conduct, infringement of third-party rights, uploading harmful or malicious content, and any actions that could harm the reputation or operation of PeerPop. We reserve the right to suspend or terminate accounts involved in such activities.

5. Content and Intellectual Property

You retain ownership of the content you post on PeerPop but grant us a license to use, display, and distribute this content in relation to our Services. You affirm that you hold necessary rights to the content you post and that your content does not infringe on any third-party rights.

6. Privacy and Data Protection

We value your privacy. Our Privacy Policy explains how we collect, use, store, and protect your personal data. We are committed to maintaining the confidentiality of your information and complying with all applicable data protection laws.

7. Financial Transactions

Our Services include financial transactions like ticket sales, which are processed securely through third-party payment gateways. PeerPop is not responsible for the processing and security of these transactions but ensures the selection of reputable and reliable payment service providers.

Ownership of Accounts and Funds: Accounts created by employees, contractors, or representatives for a business entity are considered the property of the business entity. Any disputes regarding ownership of such accounts must be resolved between the parties involved. PeerPop is not liable for disputes regarding account ownership.

Payment Processor Policies: All payment-related updates or changes (e.g., connecting a new Stripe account) must comply with the policies of the third-party payment processor. PeerPop cannot authorize changes without the documentation required by the processor.

Taxes: You agree to indemnify, defend, and hold harmless PeerPop from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable legal fees and costs) arising out of or in any way connected with your failure to report, collect, or remit any applicable taxes, duties, or levies. If a tax authority requires PeerPop to pay taxes attributable to your events, you agree to promptly reimburse PeerPop for such amounts plus any associated penalties and interest. PeerPop acts solely as a limited commercial agent for the purpose of processing payments and is not the Merchant of Record for your transactions. You acknowledge that you are the sole retailer of your goods/services for all tax purposes. PeerPop merely provides the software infrastructure to facilitate your transactions. You represent and warrant that you are registered to collect sales tax in all jurisdictions where you are legally required to do so. You are solely responsible for configuring accurate tax rates.

PeerPop reserves the right to withhold payment or freeze your payouts if we reasonably believe that you have failed to comply with applicable tax laws or if we are required to remit taxes on your behalf by any governmental authority.

8. Ownership and Account Changes

Ownership Verification: If there is a change in ownership of a business associated with a PeerPop account, the requesting party must provide verifiable documentation, including but not limited to:

• A bill of sale or purchase agreement.
• Legal documentation confirming the ownership transfer.
• Written authorization from the current account holder(s).

Account and Fund Access: Until documentation is provided and verified, PeerPop reserves the right to maintain the status quo of account access and fund disbursements.

9. SMS and Text Messaging

Data We Collect and How We Use It: For our messaging program, PeerPop collects the personal information you provide — specifically your name, email address, and mobile phone number. We use this information to communicate with you and as proof of purchase for entry to the events you buy tickets for. Information you provide in connection with a ticket purchase is shared only with the event organizer for that event so they can verify entry and administer the event. PeerPop never sells this information and does not share it with any other third parties or affiliates.

SMS Notification: When you separately opt in to receive text messages, PeerPop may send recurring ticket updates, event announcements, event reminders, schedule or venue updates, promotional offers, and other event-related messages to the mobile telephone number you provide.

Message frequency varies. Message and data rates may apply. You may reply STOP to unsubscribe from future messages and HELP for assistance. Consent to receive marketing or promotional text messages is not a condition of purchasing a ticket, creating an account, or using PeerPop's services.

PeerPop does not sell, rent, share, or otherwise disclose mobile phone numbers, SMS opt-in data, or text-messaging consent to third parties or affiliates for their own marketing or promotional purposes.

Mobile information and messaging consent are not shared with third parties or affiliates for marketing or promotional purposes. SMS marketing consent provided to PeerPop is not automatically transferred to an event organizer, event host, affiliate, or other third party.

Cancellation: You can cancel the SMS service at any time by texting "STOP." After unsubscribing, you will no longer receive SMS messages from us. To re-subscribe, follow the initial sign-up process.

10. User Interactions

PeerPop provides a platform for users to interact, but we are not responsible for these interactions. We encourage a respectful and safe environment but are not liable for disputes or issues that arise between users.

11. Modifications to the Services

We continuously work to improve our Services and may make changes at any time. While we strive to minimize any inconvenience, we are not liable for any impact these changes may have on your use of the Services.

12. Governing Law

This Agreement is governed by the laws of the State of Georgia. By using our Services, you consent to the jurisdiction of Georgia courts for any legal matters arising from this Agreement.

13. Arbitration Agreement

In the interest of resolving disputes efficiently, you and PeerPop agree to arbitrate any disputes arising from this Agreement, except for cases involving intellectual property infringement and small claims, which may be brought in court. Disputes under these Terms are to be resolved through binding arbitration on an individual basis, except as allowed by small claims court provisions.

14. Termination

We reserve the right to terminate your access to our Services if you breach this Agreement. Upon termination, you must cease all use of the Services, and we may delete your account data.

15. Refunds

Transactions on PeerPop are processed securely. We maintain a comprehensive refund policy to ensure clarity for all parties involved:

Refunds are at the sole discretion of the event organizer unless otherwise explicitly stated in the event terms or ticket purchase agreement. If refunds are approved by the event organizer, attendees must provide proof of approval to PeerPop. PeerPop will verify refund approval directly with the event organizer before processing the refund.

Refunds may also be considered (but are not guaranteed) in cases where an attendee did not receive their ticket due to a verified technical or platform issue on PeerPop's part. Examples include, but are not limited to, tickets not being generated or accessible after checkout. Such cases will be reviewed on a case-by-case basis to determine eligibility.

Organizer Unresponsiveness
If an event organizer is unresponsive to refund requests, their refund policy will default to "no refunds, all sales are final" unless explicitly stated otherwise in the event's terms. PeerPop is not responsible for enforcing or mediating refund policies set by organizers, beyond verifying refund approvals where provided.

Processing and Service Fees
All processing fees and service fees charged by PeerPop during the ticket purchase process are non-refundable. These fees cover administrative and operational costs and will not be refunded under any circumstances, even if a refund is granted by the event organizer or PeerPop.

Chargebacks and Payment Disputes
By purchasing a ticket through PeerPop, you agree that all refund requests must be handled through the event organizer or PeerPop's designated customer service channels. Filing a chargeback with your bank or payment provider is strictly prohibited.

You expressly agree not to initiate a chargeback or payment dispute with your bank or payment provider for any ticket purchased through PeerPop.

If you initiate an unauthorized chargeback or payment dispute:
• PeerPop reserves the right to dispute the chargeback by providing evidence of your agreement to these terms.
• PeerPop may suspend or terminate your account to prevent further misuse of the platform.
• You may be held liable for any fees, expenses, or damages incurred as a result of the chargeback, including legal fees if applicable.

Refund Process
Refunds, where approved, will be processed directly through PeerPop after verification with the event organizer. Refunds, if granted, will not include processing or service fees charged by PeerPop. Refund processing times may vary depending on the event organizer, PeerPop's verification process, and the payment provider's timelines.

Technical Issues
Refunds may be considered in cases where an attendee experiences a verified technical issue resulting in the inability to access or receive their ticket after checkout. Attendees must contact PeerPop's customer service team and provide detailed information regarding the issue. PeerPop will investigate the claim and determine refund eligibility.

PeerPop does not guarantee refunds for technical issues, but cases will be reviewed thoroughly, and reasonable efforts will be made to resolve the matter.

Reporting Concerns
For any concerns or issues regarding fees, refunds, or disputes, please contact the event organizer directly. PeerPop will not mediate disputes between attendees and organizers unless explicitly required to do so under applicable laws or platform policies.

Final Acknowledgment
By completing your ticket purchase, you acknowledge and agree to abide by this refund policy, including the terms related to chargebacks and payment disputes. Failure to comply with these terms may result in account suspension, liability for damages, or other remedies as deemed necessary by PeerPop.

16. Ownership and Liability

PeerPop is not responsible for disputes regarding ownership of accounts or funds. Ownership transfers require verifiable documentation, and PeerPop will act in accordance with applicable laws and policies.
